TransfersPlace Terms & Conditions Effective Date: 30.11.2025 Welcome to TransfersPlace (“we”, “our”, or “us”). These Terms & Conditions (“Terms”) govern the use of our platform, website, and related services (“Platform”). By accessing or using the Platform, you (“Club”, “you”, or “your”) agree to these Terms. 1. Eligibility 1.1 Access to TransfersPlace is restricted to verified professional football clubs. 1.2 Only authorised representatives of a Club may create and operate user accounts. 1.3 Player agents, individuals, and unverified organisations are not permitted access. 2. Services Provided TransfersPlace provides a secure environment for: - Viewing all players uploaded by participating Clubs - Facilitating club-to-club transfer and loan enquiries - Enabling secure, logged messaging between Clubs - Displaying analytics, ratings, and suitability indicators generated by TransfersPlace - Maintaining platform audit logs, security, and integrity TransfersPlace is not a transfer intermediary or agent. All negotiations occur directly between Clubs. 3. Data Protection Roles & Responsibilities 3.1 Hybrid Model TransfersPlace and each Club operate under a hybrid GDPR structure: A. TransfersPlace as Independent Controller We independently determine the purposes and means of: - platform-wide player visibility - analytics, profiling, scoring, suitability ratings - platform security, logging, and access control - usage data and behavioural insights - product development - fraud detection and misuse prevention B. Club as Independent Controller The Club independently determines the purposes and means of: - player data it uploads - ensuring accuracy and lawful basis for the data - providing required player privacy notices - its own internal use of player information C. Joint Controllers (TransfersPlace + Club) We jointly determine purposes only for: - platform-wide visibility of all players to all Clubs on the Platform - transfer and loan enquiries between Clubs - secure Club-to-Club messaging - shared audit and compliance logs D. TransfersPlace as Processor (Limited Scope) TransfersPlace acts as a Processor only when: - storing raw data uploaded by Clubs - applying Club-requested edits/deletions to raw player data This limited processing is carried out under Club instruction. 4. Player Data and Platform Visibility 4.1 All player profiles uploaded by any Club are visible to all other Clubs on TransfersPlace. 4.2 Player data is not visible to the public, agents, players, or any third party outside authorised Clubs. 4.3 Clubs must not export, re-publish, or use Platform data outside legitimate internal sporting purposes. 4.4 TransfersPlace does not collect injury data, medical data, or player images. 5. Lawful Use of Data 5.1 Player data may only be used for legitimate football-related purposes, including scouting, evaluation, transfers, and loans. 5.2 Clubs must ensure all player and staff data they upload: - complies with applicable data protection laws - is accurate and lawful - is accompanied by appropriate player notification/consent where required 5.3 TransfersPlace uses analytics and profiling as part of its legitimate interest in operating the Platform. 5.4 Unauthorised copying, scraping, selling, exporting, or repurposing of data is strictly prohibited. 6. Confidentiality 6.1 All Platform data is confidential to TransfersPlace and participating Clubs. 6.2 Clubs agree not to disclose Platform content to any third party, except: - regulatory authorities (where legally required) - internal Club personnel on a need-to-know basis 6.3 Clubs must implement appropriate internal access controls to protect confidentiality. 7. Fees & Payments 7.1 Some features or access tiers may require subscription fees or per-use charges. 7.2 Fees are non-refundable unless expressly stated. 7.3 Failure to pay may result in suspension or termination of Platform access. 8. Intellectual Property 8.1 TransfersPlace retains all rights to: - Platform algorithms, analytics, scoring models - software - design - trademarks - databases 8.2 Clubs retain ownership of the raw data they upload. 8.3 By uploading data, Clubs grant TransfersPlace a non-exclusive, revocable licence to: - host the data - display it across the Platform - use it to enable player visibility, enquiries and messaging 9. Liability 9.1 TransfersPlace provides the Platform on an “as is” and “as available” basis. 9.2 Each Party is responsible for its own independent controller activities. 9.3 Joint controller liability applies only to jointly determined purposes. 9.4 Neither Party is liable for indirect or consequential losses. 9.5 TransfersPlace is not responsible for: - the accuracy of data uploaded by Clubs - decisions made by Clubs using Platform information - transfer outcomes or negotiations 10. Termination 10.1 TransfersPlace may suspend or terminate access for: - breaches of these Terms - unlawful data use - unpaid fees - misuse or security risk 10.2 Clubs may terminate their account by written notice. 10.3 Upon termination: - raw Club-uploaded data will be deleted or anonymised (except where retention is required for legal or audit purposes) - enquiry logs and audit data may be retained for compliance and security 11. Governing Law & Jurisdiction These Terms are governed by the laws of England and Wales, and disputes are subject to the exclusive jurisdiction of the courts of England and Wales. 12. Amendments We may update these Terms at any time. Continued use of the Platform constitutes acceptance of updated Terms.
